1. Definitions<\/span><\/h2>\n<\/div>\n<\/div>\n<\/div>\n<\/div>\n
\n
\n
\n
\n

\u201c360\u00b0 Spin Set\u201d<\/strong> means a set of images captured in such a manner to enable the
\ncreation of an interactive 360 experience of the item.<\/p>\n

\u201cFinalized Shot List\u201d<\/strong> means a mandatory customer supplied list containing product
\ndata relating to the items being sent for a photography project ( SKUs, GTINs, ASINs, product
\ndescriptions, etc.).<\/p>\n

\u201cGS1 Compliant Image Sets\u201d<\/strong> means a mandatory customer supplied list containing
\nproduct data relating to the items being sent for a photography project ( SKUs, GTINs, ASINs,
\nproduct descriptions, etc.).<\/p>\n

\u201cImage Capture Style Guides\u201d<\/strong> means a studio image guide created with customer input
\nand approval to instruct the studio teams in capturing, editing and delivering the images according
\nto product types or categories.<\/p>\n

\u201cServices Location\u201d<\/strong> means the physical location where the Studio Services will be
\nperformed. This could be at the 1WorldSync Studios, at the Client\u2019s location, or at another location
\nas specified in the Order Form or Statement of Work (\u201cSOW\u201d).<\/p>\n

\u201cStill Image(s)\u201d<\/strong> Single product captured images excluding 360 spin imagery. These
\ncould be alone or in conjunction with other capture products.<\/p>\n

\u201cStudio Deliverables\u201d<\/strong> Final work product(s) delivered to Client by 1WorldSync, and
\nwhich Client owns upon delivery. This can include images, videos, CGI or AR files in multiple
\nformats depending on what is ordered by Client and specified in the Order Form.<\/p>\n

\u201cDigitally Rendered Images\u201d<\/strong> Photorealistic still or animated product image assets
\ncreated using imaging software. GS1, 360 Spin image sets or 3D Models for AR\/VR can be created using
\nClient supplied assets or without any assets with Client supplied examples and direction.<\/p>\n

\u201cStyled Food Image Asset\u201d<\/strong> shall mean photographic images created through a
\ncombination of
\nphotographic techniques, creative direction, prop selection, food preparation, and styling.<\/p>\n

2. 1WorldSync Studio Service General Information<\/h2>\n

1WorldSync will photograph and deliver to Client one or more high-quality digital images of Client\u2019s
\nproduct(s) based on the 1WorldSync Studio Services listed in the Order Form.<\/p>\n

2.1 Photography-based Services Location.<\/strong>The photography portion of the services will
\nbe conducted at the Services Location listed on the Order Form.<\/p>\n

2.3 Image Format.<\/strong>Unless otherwise requested and agreed to by both Parties, all
\nimages will be
\nsupplied in JPG format in the SRGB color space. In place of JPG, images can be delivered in TIFF or
\nPNG format at no additional cost upon Client\u2019s request, and as designated in the Order Form. When a
\npost-production clipping path creation is required, the standard image delivery is JPG.<\/p>\n

NOTE: CMYK conversions are not offered by 1WorldSync.<\/p>\n

2.4 Image Pixel Dimension.<\/strong>Standard image delivery is 3000 x 3000-pixel count. Other Image pixel
\ncount delivery is available upon Client request, and as designated in the Order form.<\/p>\n

2.5 Studio Deliverable Ownership.<\/strong>Upon delivery and payment, Studio Deliverables become the
\nproperty of Client. 1WorldSync will deliver the Studio Deliverables to Client through a Google Drive,
\nunless an alternative delivery method is mutually agreed upon by both Parties, and as specified in the
\nOrder Form.<\/p>\n

2.6 Metadata.<\/strong>Metadata will be applied to the images, if listed and agreed to in the Order Form. If
\nMetadata is to be included, Client must supply 1WorldSync the required information in spreadsheet
\nformat (preferably Microsoft Excel) prior to commencement of the Studio Services.<\/p>\n

2.7 Weights and Dimensions.<\/strong>Weights and dimensions will be captured for CPG and Foodservice GS1
\ncompliant 1WorldSync Asset Package Services only, unless requested by the Client as an Add-On
\nService.<\/p>\n

2.8 Product Limitations.<\/strong> Due to the equipment used for image capture, we are limited on the size of products we can accept.<\/p>\n

    \n
  • Maximum length – 36 inches square<\/li>\n
  • Maximum weight – 90lb<\/li>\n<\/ul>\n

    3.Asset Package Details<\/h2>\n

    3.1 Image Capture Package (GS1 Compliant)<\/strong> 3.1A CPG, 3.1B Food Service and 3.1C Standard are
    \nall options within this Package<\/p>\n

    3.1A. Consumer Packaged Goods (CPG) Image Package<\/strong><\/p>\n

    1WorldSync’s Image Package for CPG products includes the following for the sellable unit, inner unit
    \n(sellable or non-sellable), or case, as agreed to in the Finalized Shot List:<\/p>\n

      \n
    • Six (6) straight-on images \u2013 Four (4) sides plus top and bottom for a total of six (6) images at 0\u00b0<\/b>
      \nplunge angle.<\/li>\n
    • Three (3) marketing angle images: 20\u00b0 plunge angle for front, left, and right views. The left
      \nand right views are at a 15\u00b0 side angle.<\/b><\/li>\n
    • Two (2) images of the Ingredient\/Nutrient label (may be provided as individual images or a
      \nsingle image with both views, as listed in the Finalized Shot List)<\/b>.<\/li>\n
    • One (1) barcode image.<\/li>\n<\/ul>\n

      NOTE:<\/b> Additional images may be requested and agreed to in the Finalized Shot List for an additional fee.<\/p>\n

      All CPG images are GS1 compliant (meeting the GS1 requirements and naming conventions)<\/b>. All
      \nimages are provided in the GS1 high-resolution classification and follow the GS1 specifications for
      \nproduct orientation unless otherwise instructed by the Client and agreed to in the Finalized Shot List.<\/p>\n

      Post-Production Services<\/b><\/p>\n

      1WorldSync’s CPG Image Package includes the following Post-Production Services at no additional cost
      \nand will be delivered within industry-standard color correction and variance, with the following default
      \nspecifications:<\/p>\n

        \n
      • Basic reflection\/Wrinkle Reduction:<\/b> Digital retouching to minimize reflections and wrinkles.<\/li>\n
      • Dust\/Tear\/Scratch Package Cleanup:<\/b> Digital retouching to remove dust, scratches, and tears.<\/li>\n
      • White Balance:<\/b> Industry-standard adjustments to ensure that the product colors are neutral
        \nand match reality.<\/b><\/li>\n
      • Global Color\/Contrast Boost:<\/b> Overall color and contrast adjustment.<\/li>\n
      • Exposure Correction:<\/b> Correction to bring image brightness to industry standards.<\/li>\n
      • Highlight Reduction:<\/b> Highlight intensity will be brought to 250 (bright white with minimal detail).<\/li>\n
      • Text Removal:<\/b> Removal of date codes and lot numbers.<\/li>\n
      • Manual Clipping Path:<\/b> Creation of a clipping path to select and remove a product from its
        \nbackground (white or transparent).<\/li>\n
      • Imperfection Retouch:<\/b> Digital retouching to correct product imperfections (e.g., printing errors or
        \nshipping damage).<\/li>\n
      • Package Reshape:<\/b> Digital retouching to adjust the package shape to represent the ideal form
        \n(e.g., straightening edges of a rectangular box).<\/li>\n
      • Enhanced Brand Logo:<\/b> Digital retouching to increase logo contrast or color saturation.<\/li>\n<\/ul>\n

        NOTE:<\/b> Revisions and\/or additional post-production adjustments requested outside of the above
        \nstandards are subject to additional fees. Inkjet printing over text and\/or logos can be provided for an
        \nadditional fee if requested by the Client and mutually agreed.<\/b><\/p>\n

        3.1B. Foodservice Image Package.<\/strong><\/p>\n

        1WorldSync’s Image Package for foodservice products includes the following four (4) images:<\/p>\n

          \n
        • Closed case: One (1) image.<\/li>\n
        • Open case: One (1) image.<\/li>\n
        • Inner pack or plastic bag of food: One (1) image.<\/li>\n
        • Raw product\/consumer unit\/lowest unit: One (1) image.<\/li>\n
        • Raw product\/consumer unit\/lowest unit: One (1) variation image.<\/li>\n<\/ul>\n

          Open Case images: Cases will be opened from the top or unglued at the front and sides. Cases with
          \ndisplay perforations must be requested in advance (additional charges may apply).<\/p>\n

          Raw images: Liquid items will be displayed in clear (raw) and white (plated) vessels. Drinks will be
          \ndisplayed in short clear (raw) and tall clear (plated) glasses. Mixing requires an additional fee.<\/p>\n

          NOTE:<\/b> Additional images (e.g., closed case top shot) may be requested and agreed to in the Finalized
          \nShot List for an additional fee.<\/p>\n

          All Foodservice images are GS1 compliant (meeting GS1 requirements and naming conventions). All
          \nimages are provided in the GS1 high-resolution classification and follow GS1 specifications for product
          \norientation unless otherwise instructed by the Client and agreed to in the Finalized Shot List.<\/p>\n

          Post-Production Services<\/b><\/p>\n

          1WorldSync’s Foodservice Image Package includes the following Post-Production Services at no
          \nadditional cost and will be delivered within industry-standard color correction and variance, with the
          \nfollowing default specifications:<\/p>\n

          • Dust\/Tear\/Scratch Package Cleanup:<\/b> Digital retouching to remove dust, scratches, and tears.<\/li>\n

            \nmatch reality.<\/li>\n
          • Global Color\/Contrast Boost:<\/b> Overall color and contrast adjustment.<\/li>\n

          • Highlight Reduction:<\/b> Highlight intensity will be brought to 250 (bright white with minimal detail).<\/li>\n

          • Package Reshape:<\/b> Digital retouching to adjust the package shape to represent the ideal form

          • Enhanced Brand Logo:<\/b> Digital retouching to increase logo contrast or color saturation.<\/li>\n<\/ul>\n

            NOTE:<\/b> Revisions and\/or additional post-production adjustments requested outside of the above
            \nstandards are subject to additional fees. Removal of inkjet printing over text and\/or logos can be provided
            \nfor an additional fee if requested by the Client and mutually agreed.<\/p>\n

            3.1C. Standard Image Package.<\/strong><\/p>\n

            1WorldSync will deliver up to five (5) images per product in one folder per product with the images
            \ncontained in a separate folder unless another method is specifically agreed to between the Parties in the
            \nOrder Form.<\/p>\n

            Additional specifications:<\/b><\/p>\n

              \n
            • Products will be captured at standard angles, e.g., 0\u00b0, 45\u00b0, 90\u00b0, 180\u00b0, 270\u00b0 with a 20\u00b0 plunge,<\/b>
              \nunless otherwise listed in the Order Form.<\/li>\n
            • Square crop with the product occupying approximately 90% of the frame (based on its
              \nlargest dimension).<\/b><\/li>\n<\/ul>\n

              Post-Production Services<\/b><\/p>\n

              1WorldSync’s Standard Image Package includes the following Post-Production Services at no additional
              \ncost and will be delivered within industry-standard color correction and variance, with the following default
              \nspecifications:<\/p>\n

                3.2. Interactive Asset Package<\/strong><\/p>\n

                1WorldSync will deliver one (1) set of twenty-four (24) 360\u00b0 images<\/b> of Client\u2019s product(s) in one folder
                \nper product based on the following specifications:<\/p>\n

                  \n
                • One (1) set of twenty-four (24) 360\u00b0 images<\/b> on a single plane (row) will be captured.<\/li>\n
                • Standard plunge angles of 20\u00b0 unless specified by the customer.<\/li>\n
                • Square crop with approximately 90% fill at largest product dimension.<\/li>\n
                • Standard MP4 video output<\/b> created from 360\u00b0 imagery files; no video post-production or
                  \nediting.<\/li>\n
                • Animation:<\/b> The product can be paused during the 360\u00b0 capture to allow for up to three product
                  \nadjustments (e.g., changing product features or styling).<\/li>\n<\/ul>\n

                  The following Post-Production Services are included in 1WorldSync’ Interactive Asset Package at no
                  \nadditional cost, and will be delivered within industry standard product color correction and variance, with
                  \nthe following default specifications:<\/p>\n

                    \n
                  • Basic Reflection\/Wrinkle Reduction:<\/b> Digital retouching to minimize reflections and wrinkles.<\/li>\n
                  • Basic Dust\/Tear\/Scratch Package Cleanup:<\/b> Digital retouching to remove dust, scratches, and
                    \ntears.<\/li>\n
                  • White Balance:<\/b> Industry standard adjustments made through digital retouching to ensure that the
                    \nproduct colors are neutral and match reality.<\/li>\n
                  • Basic Exposure Correction:<\/b> Correction to bring image brightness to industry standards.<\/li>\n
                  • Basic Global Color\/Contrast Boost:<\/b> Overall color and contrast adjustment.<\/li>\n
                  • Basic Highlight Reduction:<\/b> Highlight intensity will be brought to 250 (bright white with minimal
                    \ndetail).<\/li>\n
                  • Simple Text Removal:<\/b> Removal of text on products when applicable.<\/li>\n
                  • Pure White Background:<\/b> Background replaced with pure white (no clipping path provided).<\/li>\n
                  • Prop Removal:<\/b> Removal of any props, glue, or fishing line required to stabilize the product.<\/li>\n<\/ul>\n

                    NOTE: Up to two (2) additional sets of twenty-four (24) 360\u00b0 images (see Add-on Additional Row Set
                    \nAnimation for Interactive Assets)<\/b>.<\/p>\n

                    3.3. Full Media Package<\/strong><\/p>\n

                    1WorldSync will deliver images for both the ordered Image Capture Package (GS1 Compliant)<\/b>, which
                    \nincludes options for CPG, Food Service or Standard Images, and Interactive Asset Package<\/b> for the
                    \nsame products. All specifications will match sections 3.1 and 3.2 of this document.<\/p>\n

                    4. Add-On Services Details<\/h2>\n

                    4.1 Add Keywords<\/strong><\/p>\n

                    1WorldSync will add product specific branding copy on the images to call out functions, features or
                    \nbenefits. As applicable, Client must provide:<\/p>\n

                      \n
                    • Branding copy to be used.<\/li>\n
                    • Location of copy on the images (one of four quadrants).<\/li>\n
                    • Desired font type, style, size, and color.<\/li>\n
                    • Images frames numbers where copy would be visible.<\/li>\n
                    • Direction (as required) within a timely manner.<\/li>\n<\/ul>\n

                      4.2 Additional File Names\/Type Output<\/strong><\/p>\n

                      1WorldSync will rename and format the image files according to the specific requirements. The Client will
                      \nbe responsible for providing the requirements prior to the commencement of this service. Up to two (2)
                      \noutputs (including different field types) are included.<\/p>\n

                      4.3 Additional Imagery<\/strong><\/p>\n

                      1WorldSync will shoot and deliver still images in addition to what\u2019s included in the Asset Package Client
                      \npurchased. Specifics will be detailed on the Order Form.<\/p>\n

                      4.4 Additional Row Set\/Animation (for Interactive Assets)<\/strong><\/p>\n

                      1WorldSync will shoot and deliver additional 24 spin images at an alternate camera angle with post
                      \nproduction work and animations included with the Client\u2019s Interactive Asset Package.<\/p>\n

                      4.5. Data Management<\/strong><\/p>\n

                      Modification or transformation of Studio Deliverables, re-delivery of Studio Deliverables after 60 days, or
                      \nupdating of Studio Deliverables to meet specific recipient required standards, and uploading of the Studio
                      \nDeliverables to an external DAM system or equivalent.<\/p>\n

                      4.6 Weights & Dims (Cubsican) – per level (eg – Case = 1, Inner = 1, Each = 1)<\/strong><\/p>\n

                      Product weights and dimensions will be captured during the check-in process using Cubiscan or other
                      \nmeasurement devices<\/p>\n

                      4.7 Ghost Mannequin<\/strong><\/p>\n

                      1WorldSync will use a mannequin or body form when shooting the images and will use digital retouching
                      \nto eliminate the mannequin or body form used to display clothing, creating the appearance that the
                      \nclothes are being worn by a ghost.<\/p>\n

                      4.8 Mobile Ready Hero Imagery Overlay<\/strong><\/p>\n

                      1WorldSync will create a mobile ready \u201cHero Image\u201d that is a representation of a real-world product that
                      \nmay differ from a standard pack shot, but which maintains the majority of the physical pack\u2019s key
                      \nelements of design, shape and color, and is therefore recognizable on a Digital Shelf.<\/p>\n

                      4.9 Premium Support and Delivery<\/strong><\/p>\n

                      Add-on enhancing the existing Image Packages:<\/p>\n

                        \n
                      • Project Coordination\n
                          \n
                        • Expert Studio Consultation with project manager and photography team<\/li>\n
                        • Style Guide Approval with two rounds of revisions<\/li>\n<\/ul>\n<\/li>\n
                        • Additional Post-Production\n
                            \n
                          • Compositing of hi-resolution artwork provided by the client<\/li>\n
                          • Shadow creation<\/li>\n
                          • Screen or text replacement with customer supplied imagery<\/li>\n
                          • Advanced color correction\/matching to customer supplied example or color standards<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n

                            Advanced retouching to correct or enhance the product beyond the standard adjustments<\/p>\n

                            4.10 Product Assembly<\/strong><\/p>\n

                            1WorldSync will assemble and\/or prepare the product for photography, and disassemble and repackage
                            \nthe product if\/when the return of the product back to the Client is applicable.<\/p>\n

                            4.11 Rush Priority<\/strong><\/p>\n

                            1WorldSync will deliver the final images within the minimum time needed to complete a project.<\/p>\n

                            4.12 On-site Project<\/strong><\/p>\n

                            Quote available upon request for image capture project outside of 1WorldSync Studios. This could be at a
                            \ncustomer or third-party location<\/p>\n

                            4.13 Studio Day Rate<\/strong><\/p>\n

                            Day rates for Studio Services shall apply when Client arranges to pay for one day (8 hours) of time
                            \nutilizing one(1) photo bay. One bay includes, photographer, supporting staff and all pertinent equipment.
                            \nThe rates listed on the Project Form will apply.<\/p>\n

                            4.14 Project Set Up Fee<\/strong><\/p>\n

                            Projects with less than five (5) products purchased for image creation (capture or CGI) will incur the
                            \nProject Set Up fee as described in the Project Form<\/p>\n

                            4.15 Styled Food Image Asset \u2013 Level 1<\/strong><\/p>\n

                            1WorldSync will capture a single image of the prepared food
                            \nproduct with basic styling by a chef\/stylist to represent what the final prepared product will resemble. This
                            \nimage will be in addition to what\u2019s included in the Asset Package purchased by the Client. Specifics will
                            \nbe detailed on the Order Form. When applicable, Client supplied example imagery will be used to create
                            \nthe assets.<\/p>\n

                            Specifications<\/p>\n

                              \n
                            • One (1) image of the styled food product at a front facing plunge angle of approximate 20\u00b0<\/li>\n<\/ul>\n

                              Image preparation and styling will be limited to the following:<\/p>\n

                                \n
                              • White smooth non-textured table surface<\/li>\n
                              • Dishware to be white and include simple round plates, bowls, platters or cups as they apply to the
                                \nproduct type<\/li>\n
                              • Liquid products may be presented in simple, clear glassware<\/li>\n
                              • Basic garnish or sauces in a white ramekin are available (e.g. \u2013 parsley or ketchup)<\/li>\n
                              • Side dishes, beverages or sauces applied to the product are not available<\/li>\n<\/ul>\n

                                Product Reshoot<\/p>\n

                                If some aspect of the approved image example was not followed \u2013 this could include the following \u2013
                                \nincorrect product use \/usage, incorrect photo level, etc., then 1WS Studio will re-shoot at no additional
                                \ncost and deliver the updated image files as soon as possible<\/p>\n

                                Images captured following the approved example, but client had a change in preference, product
                                \napplication, etc. does not qualify as a Reshoot, and will be treated as a new shoot request.<\/p>\n

                                Styled Food Image \u2013 Level 1 includes the following Post-Production Services at no additional cost, and
                                \nwill be delivered within industry standard product color correction and variance, with the following default
                                \nspecifications:<\/p>\n

                                  \n
                                • White Balance: Industry standard adjustments made through digital retouching to ensure that the
                                  \nproduct colors are neutral and match reality.<\/li>\n
                                • Global color\/contrast boost: Overall color and contrast adjustment<\/li>\n
                                • Exposure correction: Overall correction to bring image brightness to industry<\/li>\n
                                • Basic Imperfection Retouch: Through digital retouching the correction product imperfections
                                  \nincluding but not limited to printing errors or shipping damage with reason.<\/li>\n
                                • Basic correction of product: e.g. \u2013 color enhancement of meat, lightening or darkening of product
                                  \nfor consistency<\/li>\n
                                • Dishware and background cleanup (e.g. \u2013 dust, crumbs and smudges)<\/li>\n<\/ul>\n

                                  NOTE: Revisions and\/or additional post-production adjustments requested outside of the above
                                  \nstandards are subject to additional fees.<\/p>\n

                                  5. Digitally Rendered Images<\/h2>\n

                                  The following creative services may be performed upon agreement between Client and 1WorldSync at
                                  \nthe rates specified within the Studio Services Project Agreement or Order Form.<\/p>\n

                                  5.1 3D Models for AR\/VR<\/strong><\/p>\n

                                  Input Requirements<\/strong><\/p>\n

                                  All packaging artwork must be included<\/p>\n

                                  All Fonts used in packaging artwork must be included<\/p>\n

                                                6. Revision Limits<\/h2>\n

                                                Up to two (2) rounds of revisions by Client for Studio Deliverables are included in 1WorldSync\u2019 Studio
                                                \nServices as part of the Asset Package fee. Additional revision requests will be considered a \u201cre-shoot\u201d
                                                \nwhich will count as an additional full priced item and will count against the total products purchased in the
                                                \ncontract.<\/p>\n

                                                7. Delivery<\/h2>\n

                                                7.1 Standard Delivery of Studio Deliverables<\/strong><\/p>\n

                                                1WorldSync will deliver the Studio Deliverables as follows unless otherwise instructed by Client and
                                                \nagreed to by the 1WorldSync Studio Team. Requests for additional deliveries or variations from below are
                                                \nsubject to additional charges.<\/p>\n

                                                  \n
                                                • Create a Client specific folder with appropriate identifiers.<\/li>\n
                                                • Create a sub-folder within the Client folder with delivery date.<\/li>\n
                                                • Create a Google link authorization and send the link electronically to Client<\/li>\n
                                                • NOTE: Delivery links are valid for 60 days after which time the link will cease to function.
                                                  \nRequests for deliveries after 60 days will incur fees based on the Project From.<\/li>\n<\/ul>\n

                                                  7.2 Delivery Timeline Estimates<\/strong><\/p>\n

                                                  Target turn-around-time (\u201cTAT\u201d) for Studio Deliverables to Client and\/or Client specified third-party
                                                  \nrecipients is four (4) weeks. This is dependent on the project size and customer collaboration and quality
                                                  \nof customer supplied data.<\/p>\n

                                                  8. Third-Party Recipient(s) Usage Rights<\/h2>\n

                                                  Client acknowledges that 1WorldSync is permitted to distribute to and authorize the Client specified third-
                                                  \nparty recipient to distribute the Client\u2019s Studio Deliverable. Such third-party recipients have the right to
                                                  \nuse, reproduce, distribute, create derivative works of, and publicly display the same when they receive
                                                  \nthe content from 1WorldSync.<\/p>\n

                                                  9. Acceptance of Studio Deliverables<\/h2>\n

                                                  Unless otherwise specified in the executed Order Form or Statement of Work (\u201cSOW\u201d) Client will have ten
                                                  \n(10) days after receipt of each Studio Deliverable to review and either accept or reject it as not
                                                  \nconforming to the applicable descriptions above or as specified in the SOW. If 1WorldSync does not
                                                  \nreceive a written notice of rejection prior to the end of this period, Client will be deemed to have accepted
                                                  \nthe deliverable. Any reshoots after or additional retouching after this point will be charged at the rates
                                                  \nlisted on the Project Form. 1WorldSync will correct any material non-conformities identified in Client\u2019s
                                                  \nwritten notice and provide a revised Studio Deliverable. The process of revision and ten (10) days for
                                                  \neither acceptance or rejection of Studio Deliverables will be repeated until the Studio Deliverable is
                                                  \naccepted or deemed accepted by Client, or it is agreed that further efforts to correct the Studio
                                                  \nDeliverable will be unavailing. In such event, Client\u2019s sole remedy and 1WorldSync\u2019s sole responsibility
                                                  \nwill be to accept return of the Studio Deliverable, and refund any pre-paid fees associated therewith.<\/p>\n

                                                  10. Shipping Return Disclaimer<\/h2>\n

                                                  Client is responsible for providing return shipping information at the commencement of the project.
                                                  \nCommencement of Studio Services will be delayed without this information. If Client has not responded to
                                                  \nreturn shipping requests within five (5) business days past acceptance of the Studio Deliverables, the
                                                  \nproduct(s) will be donated or destroyed at 1WorldSync\u2019 sole discretion without credit or refund.<\/p>\n

                                                  11. Data Retention Policy<\/h2>\n

                                                  After Client acceptance of Studio Deliverables, the Studio Deliverables will be kept for the duration of
                                                  \ntimes listed below. Requests for re-delivery after sixty (60) days will result in charges based on the Data
                                                  \nManagement item found in the Project From.<\/p>\n

                                                    \n
                                                  • Year 1 – Client\u2019s Studio Deliverables will be available upon request one (1) year from the delivery
                                                    \ndate.<\/li>\n
                                                  • Year 2 – Client\u2019s Studio Deliverables will be archived for two (2) years from the final delivery date.<\/li>\n
                                                  • Year 3 – Client\u2019s Studio Deliverables will be moved to deep storage year three (3) from the
                                                    \ndelivery date.<\/li>\n<\/ul>\n

                                                    Client\u2019s Studio Deliverables will be deleted from 1WorldSync storage at the end of year three (3),
                                                    \nfour (4) years from the delivery date.<\/p>\n

                                                    12. Client Obligations<\/h2>\n

                                                    12.1<\/strong>. Client will ship product(s) (or provide image files for Computer Generated Image services) to
                                                    \n1WorldSync no later than thirty (30) days after the effective date of the Agreement unless otherwise specified in the Project Form. To avoid possible processing delays and turnaround time for the Studio
                                                    \nDeliverables.<\/p>\n

                                                    12.2 .<\/strong>Products must be shipped to 1WorldSync DDP destination (Incoterms 2020).<\/p>\n

                                                    12.3 .<\/strong>Client is required to provide all information related to shipments prior to their arrival at the
                                                    \n1WorldSync Studios to allow for tracking, scheduling, and storage of deliveries.<\/p>\n

                                                    12.4 .<\/strong>1WorldSync will schedule, and Client will participate in, a kickoff and Image Capture Style Guide
                                                    \nmeeting within 1 week of the request. Failure to attend these meetings will affect the image capture and
                                                    \nfinal deliverable schedule.<\/p>\n

                                                    12.5<\/strong>. A Finalized Shot List with product information attached in .xls or .csv format with SKU, UPC, or
                                                    \nGTIN, product category and description and all syndication information must be provided by Client to
                                                    \n1WorldSync prior to 1WorldSync receipt of products. (A template will be provided to Client by
                                                    \n1WorldSync.)<\/p>\n

                                                    12.6 <\/strong>Client may provide an existing Image Capture Style Guide for reference for all products submitted to
                                                    \n1WorldSync for Studio Services processing. If none is available, then Client will be required to approve
                                                    \nrepresentative products for style in the current project management software being used by 1WorldSync
                                                    \nprior to production start. Image capture will not begin without a finalized, Client approved Image Capture
                                                    \nStyle Guide in place. Any Client change requests to image capture or retouching that deviate from the
                                                    \nClient approved Image Capture Style Guides will be charged at rates on the Order Form.<\/p>\n

                                                    12.7<\/strong>. During the pre-production phase (after the contract is signed and before photography begins) Client
                                                    \nis asked to respond to all correspondence within 72 hours. Failure to do so will result in delay of the
                                                    \nphotography production and final Studio Deliverables. Requested delivery schedules may not be able to
                                                    \nbe met without additional rush fees at the rates specified within the Studio Services Project Agreement or
                                                    \nOrder Form. The 1WorldSync studio team may request a pre-production meeting(s) within this period. If
                                                    \nthe customer fails to respond or attend this will delay the project timeline.<\/p>\n

                                                    12.8 .<\/strong> During photography production (including Image Capture Style Guide creation, image capture and
                                                    \nretouching) Client is asked to respond to all correspondence within 24 hours. Failure to do so will result in
                                                    \ndelay of the final deliverables. Requested delivery schedules may not be able to be met without additional
                                                    \nrush fees at the rates specified within the Studio Services Project Agreement or Order Form.<\/p>\n

                                                    12.9 .<\/strong>When requested by 1WorldSync, style approvals must be completed within 24 hours to avoid
                                                    \nproduction delays. If production schedules must be altered due to Client delays, (delayed shot lists, style
                                                    \napprovals or other lack of information), requested delivery schedules may not be able to be met without
                                                    \nadditional rush fees at the rates specified within the Studio Services Project Agreement or Order Form.<\/p>\n

                                                    12.10<\/strong>. Client will designate, and pay for, a preferred carrier for the return of any products within a
                                                    \nreasonable time after execution of this SOW. If no carrier is specified by Client for the return of product,
                                                    \n1WorldSync will return products using UPS Ground (full rate) to the original address and will charge Client
                                                    \nall fees and expenses incurred.<\/p>\n

                                                    13. 1WorldSync Obligations<\/h3>\n

                                                    Products will be unpacked, photographed, and if applicable, repacked, and prepared for return by
                                                    \n1WorldSync to ensure they are returned in the same condition in which they are received (unless
                                                    \notherwise agreed in writing), normal wear and tear excepted.<\/p>\n

                                                    1WorldSync will perform all Studio Services within a reasonable period of time, and Client will be notified
                                                    \nof the anticipated schedule, and any delays, by the 1WorldSync Studio Operations Support Team.<\/p>\n

                                                    14 Return, Destruction, or Donation of Products<\/h3>\n

                                                    The final disposition of products under 1WorldSync Studio\u2019s control for photography purposes will be
                                                    \ndetermined by Client supplied direction during the onboarding process.<\/p>\n

                                                    If the products are to be returned to a Client location, 1WorldSync Studio will ship the products back in
                                                    \nthe fashion they were received, e.g. – boxed, palletized, shipped to the Client location using the Client\u2019s
                                                    \nfreight account. Multiple return locations may result in additional fees.<\/p>\n

                                                    If the products are designated as Donate\/Destroy, 1WorldSync Studio will make every effort to donate the
                                                    \nproducts to a philanthropic organization, e.g. – Chicago Food Depository or Habitat for Humanity. If the
                                                    \nproducts cannot be donated due to safety concerns or other issues, e.g. – fresh food safety or medical
                                                    \nsupply regulations, then they will be destroyed. This may incur additional fees if special provisions must
                                                    \nbe made for the destruction.<\/p>\n

                                                    Perishable food deliveries to 1Worldsync Studios must be scheduled at a minimum of 2 weeks in
                                                    \nadvance and approved by the studio team prior to shipment. Tracking will need to be provided. Failure to
                                                    \ncomply may result in the destruction of the items without image capture.<\/p>\n

                                                    Refrigerated(perishable) foods (e.g., meats, seafood and vegetables) in which the original packaging has
                                                    \nbeen opened will be disposed of by the 1Worldsync Studio team within 72 hr after initial photography.
                                                    \nThis is due to product viability and food safety. If reshoots are needed after this period, the client will be
                                                    \nresponsible for shipping replacement products. This also applies to frozen products that were thawed
