Overview<\/h2>\n<p>1WorldSync\u2019s ChannelSupply offering enables Client to make available to 1WorldSync and its <a href=\" \/product-descriptions\/glossary\/#channelonline-customers\">ChannelOnline Customers<br \/>\n<\/a>information about its products, including without limitation, pricing, availability, and other<br \/>\ninformation about products and\/or services offered for sale by Client to<a href=\" \/product-descriptions\/glossary\/#channelonline-mutual-customers\"> ChannelSupply Mutual<br \/>\nCustomers<\/a> through <a href=\" \/product-descriptions\/glossary\/#channelonline\">ChannelOnline<\/a>.<\/p>\n<p>As part of this offering, 1WorldSync shall integrate Client and the <a href=\" \/product-descriptions\/glossary\/#channelsupply-client-data\">ChannelSupply Client Data<\/a><br \/>\ninto ChannelOnline according to the Client\u2019s <a href=\" \/product-descriptions\/glossary\/#subscription-configuration\">Subscription<br \/>\nConfiguration<\/a> and level of integration as listed in the Order Form. The level of integration<br \/>\ndetermines the actual functionality available to ChannelSupply Mutual Customers.<\/p>\n<p>Depending on the Client\u2019s Subscription Configuration and level of integration as listed in the Order<br \/>\nForm, Client can:<\/p>\n<ul>\n<li>Incorporate its master product inventory and <a href=\" \/product-descriptions\/glossary\/#clhannelsupply-client-customer\">ChannelSupply Client<br \/>\nCustomer<\/a> specific pricing files into ChannelOnline for ChannelSupply Mutual Customers to<br \/>\nuse to quote and sell products to their <a href=\" \/product-descriptions\/glossary\/#channelonline-end-customers\">End Customers<\/a>.<\/li>\n<li>Receive real-time pricing and availability calls from ChannelOnline for ChannelSupply Mutual<br \/>\nCustomers and return data.<\/li>\n<li>Receive electronic order submission from ChannelOnline Customers, and return status and\/or<br \/>\ntracking information.<\/li>\n<\/ul>\n<h2 class=\"h5\">2. Levels of Integration<\/h2>\n<p>There are three (3) levels of ChannelSupply integration a Client can select:<\/p>\n<figure class=\"wp-block-table\">\n<table>\n<tbody>\n<tr>\n<td>ChannelSupply Standard Integration<\/td>\n<td>Flat file integration of <a href=\" \/product-descriptions\/glossary\/#channelsupply-master-product-inventory-files\">ChannelSupply<br \/>\nMaster Product Inventory Files<\/a> &amp; <a href=\" \/product-descriptions\/glossary\/#channelsupply-client-customer-pricing-files\">ChannelSupply<br \/>\nClient Customer Pricing Files<\/a><\/td>\n<\/tr>\n<tr>\n<td>ChannelSupply Enhanced Integration<\/td>\n<td>Standard level integration plus real-time price and availability API integration<\/td>\n<\/tr>\n<tr>\n<td>ChannelSupply Premium Integration<\/td>\n<td>Standard and Enhanced level integration, plus electronic order submission &amp;<br \/>\npull-back of status\/tracking details<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/figure>\n<p>ChannelSupply \u2013 Integration Setup<br \/>\nA one (1) time Setup fee is required to add the Client as a <a href=\" \/product-descriptions\/glossary\/#channelsupply-supported-supplier\">ChannelOnline Supported<br \/>\nSupplier<\/a> in ChannelOnline and enable ChannelSupply Client Data integration.<\/p>\n<p>ChannelSupply \u2013 Integration Setup includes:<\/p>\n<figure class=\"wp-block-table\">\n<table>\n<tbody>\n<tr>\n<td>ChannelSupply Standard Integration<\/td>\n<td>Creation of a \u201cSupplier Page\u201d for the Client in ChannelOnline<br \/>\nConnecting to<br \/>\nClient\u2019s FTP service for file exchange<br \/>\nIngesting\/processing file feeds into<br \/>\ndatabases on a routine basis<\/td>\n<\/tr>\n<tr>\n<td>ChannelSupply Enhanced Integration<\/td>\n<td>Integration and testing of mutually agreed upon XML API schema for request and<br \/>\nretrieval of real-time ChannelSupply Client Customer pricing<\/td>\n<\/tr>\n<tr>\n<td>ChannelSupply Premium Integration<\/td>\n<td>Integration and testing of mutually agreed upon XML API schema for request and<br \/>\nretrieval of real-time ChannelSupply Client Customer purchase order submission and<br \/>\nstatus retrieval<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/figure>\n<p>Client will be notified when ChannelSupply \u2013 Integration Setup has been completed, and unless Client<br \/>\nnotifies 1WorldSync of any faults or flaws in the Integration Setup within five (5) days of such<br \/>\nnotice, Integration Setup will be deemed to have been completed.<\/p>\n<p>ChannelSupply \u2013 Integration Maintenance<br \/>\nAn active ChannelSupply \u2013 Integration Maintenance<br \/>\nsubscription is required for 1WorldSync to process updates to ChannelSupply Client Data in<br \/>\nChannelOnline, and make any necessary changes to maintain the integration.<\/p>\n<h2 class=\"h5\">3 . ChannelSupply Master Product Inventory Files and ChannelSupply Client Customer<br \/>\nPricing Files<\/h2>\n<p>Client must provide its ChannelSupply Master Product Inventory Files and ChannelSupply Client<br \/>\nCustomer Pricing Files to 1WorldSync as part of this Service. Files must be posted to either<br \/>\nClient\u2019s hosted server location for retrieval, or 1WorldSync\u2019s FTP server on a mutually agreed upon<br \/>\ncadence (at least once a day).<\/p>\n<p>Both types of files must be re-generated each time they are made available by Client to 1WorldSync.<br \/>\nThey must be full files (including all products and all pricing for ChannelSupply Mutual Customers),<br \/>\nnot delta files (including only changed information). ChannelSupply Master Product Inventory Files<br \/>\nand ChannelSupply Client Customer Pricing Files must be sent or made available for download Monday<br \/>\nthrough Friday by 8:00 p.m. PST for use the following business day. If Client has not provided new<br \/>\nfiles within 24 hours preceding this time, 1WorldSync will continue to utilize the most recently<br \/>\nprovided file.<\/p>\n<p>Client acknowledges that all information it submits through the ChannelSupply service will be used by<br \/>\nrecipients of that information to evaluate various products and ultimately make procurement or<br \/>\npurchasing determinations. Client is solely responsible for the accuracy of all pricing and<br \/>\navailability information it provides. Client agrees that in the event of any dispute regarding its<br \/>\npricing, availability, or other Client Content it will resolve such dispute directly with such<br \/>\nthird-parties and it will reimburse 1WorldSync for any reasonable costs it may incur in support of<br \/>\nClient in relation to any such dispute.<\/p>\n<p>Client must notify 1WorldSync at least twenty-four (24) hours in advance if the file name or file<br \/>\nlocation is changed, or if there are any maintenance issues that will cause downtime or delay.<\/p>\n<p>ChannelSupply Master Product Inventory File<br \/>\nChannelSupply Master Product Inventory Files should<br \/>\ncontain one product per row, meaning that each row denotes the beginning of a new product. The data<br \/>\ncannot include any blank lines, nor any tabs in any fields.<\/p>\n<p>Client must provide the ChannelSupply Master Product Inventory File to 1WorldSync in tab-delimited<br \/>\nformat.<\/p>\n<p>The file should include the Client\u2019s full product catalog that represents every product sold by the<br \/>\nClient, including those with purchase authorization requirements. Only one ChannelSupply Master<br \/>\nProduct Inventory File is required (i.e. it should not be specific to any specific ChannelSupply<br \/>\nClient Customer).<\/p>\n<p>The file must be named master.txt or master.zip . If there are over 1,000 products in the file, it<br \/>\nmust be in zipped format with no encrypted passwords required to unzip. Field names preceded by an<br \/>\nasterisk (\u201c*\u201d) denote mandatory required information. The ChannelSupply Master Product Inventory<br \/>\nFile should be structured in the following format:<\/p>\n<figure class=\"wp-block-table\">\n<table>\n<tbody>\n<tr>\n<td>Field Name<\/td>\n<td>Field Description<\/td>\n<\/tr>\n<tr>\n<td>*Supplier SKU<\/td>\n<td>The unique product ID Client uses to identify the product in its system(s).<\/td>\n<\/tr>\n<tr>\n<td>*Retail Price (MSRP)<\/td>\n<td>Manufacturer Suggested Retail Price (aka List Price). Max 100<br \/>\ncharacters.<\/td>\n<\/tr>\n<tr>\n<td>Sub-category<\/td>\n<td>Text name of the Client or ChannelOnline sub-category for the specified product. Max<br \/>\n100 characters.<\/td>\n<\/tr>\n<tr>\n<td>*Weight<\/td>\n<td>The product shipment weight (in pounds).<br \/>\nExample: 4.00<\/td>\n<\/tr>\n<tr>\n<td>Special Message<\/td>\n<td>Any special product information that the Client\u2019s customer may find valuable. This<br \/>\nfield must be limited to 255 characters<br \/>\nExample: Replacement SKU 12345-789<br \/>\navailable on 10\/3\/2001<\/td>\n<\/tr>\n<tr>\n<td>UPC<\/td>\n<td>Universal Product Code<\/td>\n<\/tr>\n<tr>\n<td>UNSPSC<\/td>\n<td>United Nations Standard Products and Services Code<\/td>\n<\/tr>\n<tr>\n<td>Unit of Measure<\/td>\n<td>The number or type of items per unit.<br \/>\nExample: Each, EA, Box, Carton<\/td>\n<\/tr>\n<tr>\n<td>Non-Returnable<\/td>\n<td>This numeric value will indicate whether a product can be returned or not back to<br \/>\nthe supplier. A value of 0 = returnable, value of 1 = non-returnable<\/td>\n<\/tr>\n<tr>\n<td>Direct Ship<\/td>\n<td>Provide the value \u201cYes\u201d for items that are directly shipped from the vendor<br \/>\n(electronics software, licenses, etc.)<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/figure>\n<p>ChannelSupply Client Customer Pricing Files<br \/>\nClient should provide ChannelSupply Client Customer<br \/>\nPricing Files for all ChannelSupply Mutual Customers.<\/p>\n<p>ChannelSupply Client Customer Pricing Files should contain one product per row, meaning that each row<br \/>\ndenotes the beginning of a new product. The data cannot include any blank lines, nor any tabs in any<br \/>\nfields.<\/p>\n<p>Client must provide the ChannelSupply Client Customer Pricing Files to 1WorldSync in tab-delimited<br \/>\nformat.<\/p>\n<p>Unless Client has one price it offers to all ChannelSupply Client Customers per product, a separate<br \/>\nChannelSupply Client Customer Pricing Files must be submitted by Client to 1WorldSync for each<br \/>\nChannelSupply Mutual Customer.<\/p>\n<p>The ChannelSupply Client Customer Pricing Files must be named &lt;account number&gt;.txt or<br \/>\n&lt;account number&gt;.zip . For example, if a ChannelSupply Client Customer account number is<br \/>\n12345, there should be a file called 12345.txt or 12345.zip. If there are over 1,000 products in a<br \/>\nfile, it must be in zipped format with no encrypted passwords required to unzip. The unzipped file<br \/>\nwill be in the same &lt;account number&gt;.txt format. The ChannelSupply Client Customer Pricing<br \/>\nFiles may optionally include prices for specific contracts, such as government and educational<br \/>\ncontracts. The price for each contract shall be on a separate row for each SKU. The contract column<br \/>\nmay be omitted, and will then default to the value in the \u201cPrice\u201d field. Field names below preceded<br \/>\nby an asterisk (\u201c*\u201d) denote required information. ChannelSupply Client Customer Pricing Files should<br \/>\nbe structured in the following format:<\/p>\n<figure class=\"wp-block-table\">\n<table>\n<tbody>\n<tr>\n<td>Field Name<\/td>\n<td>Field Description<\/td>\n<\/tr>\n<tr>\n<td>*Supplier SKU<\/td>\n<td>The unique product ID Client uses to identify the product in its system(s).<\/td>\n<\/tr>\n<tr>\n<td>*Price<\/td>\n<td>Price the Client will sell the product to the ChannelSupply Mutual Customer.<br \/>\nNo<br \/>\ncommas or dollar signs are necessary<br \/>\nExample: 1095.95<\/td>\n<\/tr>\n<tr>\n<td>Contract<\/td>\n<td>The contract for which a valid price. This optional column may contain any of the<br \/>\nfollowing values: \u201cConsumer\u201d, \u201cGovernment\u201d, \u201cEducation\u201d, \u201cFederalGov\u201d, \u201cStateGov\u201d,<br \/>\n\u201cHigherEd\u201d, \u201cKthru12Ed\u201d, or \u201cE-Rate\u201d.<\/td>\n<\/tr>\n<tr>\n<td>Promo<\/td>\n<td>Y indicates a promotion is available (empty or N value can be used for none)<\/td>\n<\/tr>\n<tr>\n<td>Discount<\/td>\n<td>Dollar amount of the discount. Real-time Communication<\/h2>\n<p>Real-time pricing and availability, order submission, and order tracking are accomplished via HTTP<br \/>\nmessaging in XML format. The specifics of the format of messages exchanged will be mutually agreed<br \/>\nupon by Client and 1WorldSync prior to execution of the Agreement.<\/p>\n<h2 class=\"h5\">5 . Data Mapping<\/h2>\n<p>1WorldSync will make commercially reasonable efforts to perform the mapping of products provided in<br \/>\nthe ChannelSupply Master Product Inventory File to 1WorldSync product identifiers. This allows<br \/>\nChannelOnline Customers and\/or ChannelOnline End Customers via the ChannelOnline Customer\u2019s hosted<br \/>\nweb-store to see 1WorldSync product data in conjunction with ChannelSupply Client Data. The<br \/>\ninformation that 1WorldSync uses to correlate the data is the following: Manufacturer Name and<br \/>\nManufacturer SKU. Any product that is not mapped will be assigned to the \u201cAdditional Products\u201d<br \/>\ncategory in ChannelOnline.<\/p>\n<h2 class=\"h5\">6 . ChannelSupply Client Data Use License<\/h2>\n<p>The Client Content is being provided to 1WorldSync for the purposes of distributing it to third<br \/>\nparties and making it available to the public, Client grants 1WorldSync a perpetual, worldwide,<br \/>\nirrevocable license to use, copy, display, republish, and create non-infringing derivative works of<br \/>\nthe Client Content.<\/p>\n<h2 class=\"h5\">7 . Client Access to ChannelOnline<\/h2>\n<p>During the term of the Agreement, Client shall have access to ChannelOnline for the limited purpose<br \/>\nof viewing the ChannelSupply Client Data. Client acknowledges that any other access and use of<br \/>\nChannelOnline, including without limitation, all retrieval, copying, or misappropriation of content<br \/>\nfrom ChannelOnline by any means shall be deemed a violation of 1WorldSync \u2018s intellectual property<br \/>\nrights and a material breach of this Agreement.<\/p>\n<h2 class=\"h5\">8 . Additional Client Obligations<\/h2>\n<p>Client must provide 1WorldSync:<\/p>\n<ul>\n<li>Access to an established host (web server) via the Internet on a 24-hour a day basis, via either<br \/>\nthe hypertext transfer protocol (HTTP) or the file transfer protocol (FTP \/ SFTP). For file<br \/>\ntransfers, the host must allow \u201cpassive mode\u201d transfers.<\/li>\n<li>Access to a directory on the host server that is dedicated solely to storage of master.zip(txt)<br \/>\nand pricing.zip(txt) files and is kept secure and confidential. Files and data not intended for<br \/>\nChannelOnline updates must not reside in the directory.<\/li>\n<li>Appropriate permissions to allow ChannelOnline to access contents of the data file directory, to<br \/>\nread files in directory, and to download\/transfer any individual file. If password protected,<br \/>\nClient must provide 1WorldSync login information for any file transfer.<\/li>\n<li>Provide 24-hour a day (excluding scheduled maintenance downtime) access to accept real-time data<br \/>\n(via XML) requests\/responses for the submission of product or order requests and the receipt of<br \/>\nresponses corresponding to those requests.<\/li>\n<li>Provide appropriate permissions to allow ChannelOnline to access real-time data (via XML) on<br \/>\nbehalf of ChannelSupply Mutual Customers.<\/li>\n<\/ul>\n<p>Points of Contact<br \/>\nClient must provide 1WorldSync with one or more technical points of contact<br \/>\nfor integration setup, maintenance, and troubleshooting of ChannelSupply Client Data, product<br \/>\npricing errors, and networking issues.<\/p>\n<p>Responsibility for ChannelSupply Client Data<br \/>\nClient will make available the ChannelSupply Client<br \/>\nData to 1WorldSync in accordance with Subscription Configuration \u201cIntegration Level\u201d and<br \/>\nrequirements set forth within this Agreement.<\/p>\n<p>Client agrees to provide and update the<br \/>\nChannelSupply Client Data as necessary to maintain its accuracy. Client acknowledges that failure to<br \/>\nfully comply with the requirements and obligations set forth within (including but not limited to<br \/>\nthose requirements concerning accuracy and timeliness) may result in 1WorldSync removing Client and<br \/>\nthe ChannelSupply Client Data from ChannelOnline.<\/p>\n<p>Client shall provide clean and accurate<br \/>\nChannelSupply Client Data, including without limitation, the amount of time such pricing and terms<br \/>\nare valid, sales terms, limitations, minimum purchase amounts, and other information reasonably<br \/>\nnecessary for ChannelOnline Customers and\/or ChannelOnline End Customers to make an informed<br \/>\ndecision regarding purchase of a product or service. Client shall honor the pricing and terms<br \/>\ncontained in the ChannelSupply Client Data. In addition, Client shall provide all applicable and<br \/>\nrelevant updates to the ChannelSupply Client Data during the term of the Agreement.<\/p>\n<p>Client acknowledges and agrees that 1WorldSync does not intend to, and will not be required to, edit<br \/>\nor review for accuracy any of the ChannelSupply Client Data. Client represents and warrants that the<br \/>\nChannelSupply Client Data does not contain any content, materials, advertising or services that are<br \/>\ninaccurate or that infringe on or violate any applicable law, or third party rights including<br \/>\nwithout limitation rights of publicity, rights of privacy, patents, copyrights, trademarks, trade<br \/>\nsecrets, licenses, and other contractual or property interests. Client is solely responsible for any<br \/>\nclaims or other losses associated with or resulting from the ChannelSupply Client Data.<\/p>\n<p>Format Changes and Downtime<br \/>\nClient shall provide 1WorldSync with at least thirty (30) days<br \/>\nadvance written notice in the event that Client makes any material changes to the format of the<br \/>\nChannelSupply Client Data. Client also agrees to provide 1WorldSync with at least five (5) days<br \/>\nadvance written notice of any maintenance or scheduled downtime that might affect Client\u2019s ability<br \/>\nto provide real-time pricing and availability and\/or electronic order acceptance. If Client<br \/>\nexperiences an unscheduled disruption that affects Client\u2019s ability to deliver accurate and prompt<br \/>\nupdates to the ChannelSupply Client Data (e.g., unscheduled site outage), then Client shall promptly<br \/>\nnotify 1WorldSync in writing describing (a) the nature of the problem; (b) the anticipated timeframe<br \/>\nin which Client will remedy the problem; and (c) the name, phone number and email address of a<br \/>\ncontact person that will be available to 1WorldSync. Upon the occurrence of an unscheduled<br \/>\ndisruption, 1WorldSync may, at its option, remove the ChannelSupply Client Data from ChannelOnline<br \/>\nuntil 1WorldSync verifies that Client has resumed acceptable operations.<\/p>\n<h2 class=\"h5\">9 . ChannelSupply \u2013 Marketing Package<\/h2>\n<p>A ChannelSupply \u2013 Marketing Package can be purchased by the Client as a one-time service.<\/p>\n<p>This service includes:<\/p>\n<ul>\n<li>Spotlight section announcing Client as new or upgraded ChannelOnline Supported Supplier in the<br \/>\nnext ChannelOnline release communication.<\/li>\n<li>ChannelOnline Customer Login Page banner (90 days w\/ rotation) co-designed by 1WorldSync and<br \/>\nClient<\/li>\n<li>Joint news release published by 1WorldSync on the ChannelOnline marketing website announcing the<br \/>\nClient as a Support Supplier in ChannelOnline.<\/li>\n<li>Additional marketing promotion options available upon request and mutual agreement.<\/li>\n<\/ul>\n<h2 class=\"h5\">10 .
