This Product Description describes the functionality and usage requirements for Data Loading and
\nMaintenance for the Item Management Platform (\u201cDLM IM\u201d) as of the effective date in the
\nContract. This Product Description forms part of the Contract to provide Client with DLM IM.
\nCapitalized terms used but not defined herein have the definitions assigned to them in the
\n1WorldSync General Terms and Conditions.<\/p>\n

1. Services<\/h2>\n

DLM IM works in conjunction with 1WorldSync\u2019s Item Management Platform (\u201cIM\u201d). DLM IM provides
\nexpert assistance to help Client load, publish, synchronize, and maintain its data through IM.
\nFor clarification, such product content shall not include any digital assets. The 1WorldSync
\nSystem used to publish Client\u2019s product content employs GDSN certified and GS1
\nstandards-conformant messaging and methodologies.<\/p>\n

The services to be performed by 1WorldSync as part of DLM IM consist of the following:<\/p>\n

    \n
  • Data loading services based on the provision of up to twelve (12) item content assets per
    \nproduct, ensuring alignment with GDSN and non-GDSN recipient requirements.<\/li>\n
  • Ongoing maintenance on existing item information upon Client\u2019s written request.<\/li>\n
  • Troubleshooting issues with successfully publishing Client\u2019s product content with trading
    \npartners.<\/li>\n
  • Assistance with responses received from trading partners, via Catalog Item Confirmation
    \n(\u201cCIC\u201d) messages.<\/li>\n<\/ul>\n

    1WorldSync will provide DLM IM remotely. Client will make the required resource(s) available to
    \nthe 1WorldSync team for the duration of the DLM IM service period and will provide the necessary
    \ndata and information to the 1WorldSync team in an accurate, complete, and timely manner. Client
    \nshall be responsible for checking all item data provided by 1WorldSync as a part of DLM IM to
    \nensure that it is accurate and complete prior to syndication with Client\u2019s Trading Partners.<\/p>\n

    2. Requirements<\/h2>\n

    Other Product Subscriptions<\/em>: Subscriptions with 1WorldSync to access IM are required
    \nfor DLM IM.<\/p>\n

    GS1 and GDSN Standards Adoption<\/em>: In order to use DLM IM, Client must have correctly
    \nadopted the applicable GS1 product identification and measurement standards. Client is
    \nstrongly advised to review the applicable documentation from both GDSN Data Excellence, Inc.
    \nand Client\u2019s data recipients on the preparation of Content to be published to them.<\/p>\n

    System Requirements<\/em>: DLM IM requires Microsoft Excel 2010 or later.<\/p>\n

    Data Entry<\/em>: DLM IM requires that Client send all item content assets including but
    \nnot limited to product specification sheets, label information, awards, certifications, to
    \n1WorldSync via email.<\/p>\n

    Ongoing Maintenanc<\/em>e: The DLM IM service allows Client access up to one (1) hour of
    \nongoing maintenance during the applicable annual period for every ten (10) GTINs purchased
    \nby Client. The ongoing maintenance shall permit addition of or changes to attributes and\/or
    \nrecipients during the applicable annual period. Any additional ongoing maintenance shall be
