1WorldSync’s DataSource offering enables the Client to receive DataSourceContent from 1WorldSync in 1WorldSync’s proprietary Product Data Model (“DataSourcePDM”) format, with a license for the Client to use the DataSource Content internally, onits website(s), and/or elsewhere, based on the PermittedUsage(s) of the Client’s SubscriptionConfiguration, throughout the duration of the Agreement. A StaticLicense for continued use of the DataSource Content delivered during the term of thisAgreement may be available to purchase separately upon termination of this Agreement.
1WorldSync’s DataSource offering consists of a core subscription, and may also include optionalsubscription add-ons, one (1) time setups, and recurring maintenance options.
1WorldSync’s DataSource Subscription is offered at two (2) levels: Standard and Premium.
Based on the Client’s Subscription Configuration, 1WorldSync will deliver Standard or Premiumlevel content accordingly.
For the duration of the Client’s DataSource subscription, 1WorldSync will make available to theClient all changes, modifications, and updates to the DataSource Content as it becomes availablewithin the 1WorldSync DataSource database.
DataSource Content will be delivered to the Client based on either a “push” or “pull”methodology, as listed in the Service Details section of the Order Form.
DataSource Content will be delivered to the Client for a set number of Stocked SKUs,for one or more suppliers, manufacturers, or product categories, in one or more markets, in oneor more languages, with optional additional information (such as MSRP where available), based onthe Client’s DataSource Subscription Configuration.
Push subscription types:
Note: Suppliers, Categories, and Manufacturers cannot be swapped during the termof the Agreement without formally amending the Subscription Configuration. Additional fees mayapply.
DataSource Content will be delivered to the Client for a set number of products Client hasrequested via submission of its ClientCatalog, in one or more markets, in one or more languages, with optional subscriptionadd-ons, depending upon the Client’s Subscription Configuration.
Pull subscription types:
Pull Subscriptions (except Restricted) are subject to a coverage study confirming a minimum of 70% of the requested SKUs already exist in DataSource.
Additional Language(s)1WorldSync’s DataSource Subscription includes deliveryof DataSource Content to the Client in the 1WorldSync’s default language for the market(s)covered under the Client’s Subscription Configuration. Delivery of DataSource Content inadditional languages for the same market(s) (where available) can be included as part of theClient’s DataSource Subscription Configuration, as listed in the Service Details section of theOrder Form. Example: DataSource Content for a US market subscription can be delivered in both USEnglish and Spanish.
Permitted UseBasic level DataSource Subscriptions include a usage licensefor one (1) internal system, and one (1) customer facing system (website or customer portal) forthe DataSource Content delivered to the Client during the Client’s active subscription.
Premium level DataSource Subscriptions include a usage license for up to four (4) internalsystems and/or customer facing systems (website or customer portal) for the DataSource Contentdelivered to the Client during the Client’s active subscription.
Additional PermittedUsage can be included as part of the Client’s DataSource Subscription Configuration, aslisted in the Service Details section of the Order Form.
Additional Supplier Catalog w/ Supplier Part# MetamapFor Supplier basedDataSource Subscriptions, DataSource Content for additional supplier catalogs within the samemarket can be included as part of the Client’s DataSource Subscription Configuration, as listedin the Service Details section of the Order Form.
Manufacturer Suggested Retail Price (MSRP)For certain markets where1WorldSync has Manufacturer Suggested Retail Price (“MSRP”) available for the SKU, 1WorldSynccan deliver MSRP as part of the DataSource Content. MSRP can be included as part of the Client’sDataSource Subscription Configuration, as listed in the Service Details section of the OrderForm.
Client has the option to choose one of the following standard delivery methods to receiveDataSource Content as part of its DataSource subscription.

Client must choose a method of delivery upon execution of the Agreement, however, Client mayrequest to switch to another standard delivery method during its active subscription termwithout additional cost.
1WorldSync will deliver a full file of DataSource Content to the Client upon execution of anAgreement for a new DataSource Subscription or a DataSource Subscription upgrade, and thendeliver DataSource Content for new products and product content updates on an incremental basis,according to the Client’s desired cadence, as available from 1WorldSync.
For Clients with Push DataSource Subscriptions, DataSource Content will be provided based on1WorldSync’s DataSource Product IDs.
For Clients with Pull DataSource Subscriptions, DataSource Content will be provided based on theClient’s product IDs submitted to 1WorldSync in its ProductCatalog File.
Units of MeasureUnits of measure elements within the DataSource Content willbe delivered in either metric or imperial format depending on the norm for the market(s) thatare part of the Client’s DataSource Subscription Configuration.
Language Coding FormatBy default, DataSource Content will be delivered inWindows encoded format. DataSource Content may be delivered in UTF-8 or UTF-16 format if desiredand included in Client’s DataSource Subscription Configuration.
Clients can purchase additional data sets and/or increase their Stocked/Non-Stocked SKUsallowance, as separate add on services.
DataSource Subscription – Extended Specs Add OnIn addition to the DataSourceContent delivered under the Client’s DataSource Subscription, 1WorldSync will provide Client aset of related tables containing all available technical characteristics of the products.
DataSource Subscription – Compatible Accessories Add OnIn addition to theDataSource Content delivered under the Client’s DataSource Subscription, 1WorldSync can providecompatible accessories information to the Client as part of its DataSource Subscription –Compatible Accessories Add On service.

For all of these options, 1WorldSync will provide Client a set of related tables containingcompatibility links.
Compatibility rules are available only for accessories designed or marketed specifically for usewith compatible product lines/models, as opposed to generic accessories. NOTE:The mapping will be provided based on 1WorldSync’s DataSource Product IDs, based on DataSourcePDM mapping regardless of whether the Client’s DataSource Subscription is push or pull type.
DataSource Subscription – Meta-mapping Add OnAvailable for Clients with pushDataSource Subscriptions only, in addition to the MainSpecifications provided as part of the DataSource Content delivered under the Client’sDataSource Subscription, 1WorldSync will provide Client a data set of one or more supplier partnumber (where available), when a DataSource Subscription – Meta-mapping Add On service ispurchased.
DataSource – Content Creation and DeliveryClients with pull DataSourceSubscriptions can increase the amount of Stocked SKUs/Non-Stocked SKUs associated with theirDataSource Subscription by purchasing an additional lot of StockedSKUs/Non-Stocked SKUs under1WorldSync’s DataSource – Content Creation and Delivery service offering.
DataSource Subscription – UNSPSC Classification Add OnIn addition to theDataSource Content delivered under the Client’s DataSource Subscription, 1WorldSync will provideClient UNSPSC commodity code and name where available for the SKUs, when a DataSourceSubscription – UNSPSC Classification Add On service is purchased.
Note: By default, 1WorldSync will provide the latest version of the UNSPSCcommodity code and description, unless otherwise specified in the Special Terms section of theOrder Form.
DataSource Subscription – Export Information Add OnIn addition to the MainSpecifications provided as part of the DataSource Content delivered under the Client’sDataSource Subscription, 1WorldSync will provide Client Export/ImportClassification information (where available), when a DataSource Subscription – ExportInformation Add On service is purchased.

This option is only available to customers with a DataSource PremiumSubscription.

DataSource Subscription – Product Catalog Mapping Add OnTheProduct Catalog Mapping tool’s primary purpose is to enable the mapping of Client’s Catalog(s)of SKUs to 1WorldSync Stocked SKUs. In addition, the Product Catalog Mapping provides clientswith the capabilities for product filtering, coverage reports and the ability to match ClientSKUs that are available in 1WorldSync Catalog to the Client’s account. From the tool the Clientcan request new SKUs for production based on the Client’s current subscription. 1WorldSync willprovide access to the Product Catalog Mapping tool via the DataSource Client Portal.
Upon activation of the Service(s), Client will be given access to the 1WorldSync’s DataSourceClient Portal (aka: the Extranet). Client may access technical and support informationincluding without limitation: FAQ’s, technical information, help information, etc.; view list ofDataSource Content available, production status, delivery information; and submit qualityclaims. Client credentials for access to the Extranet shall not be revealed to anyone other thanthe authorized user in which credentials have been provided to, and Client is solely responsiblefor maintaining the confidentiality of its credentials.
1WorldSync will make available to Client a Java based application that can be utilized by theClient to automate the data exchanges between 1WorldSync and the Client’s systems(“ContentConnector”). The ContentConnector can be used by the Client to create tables that alignwith the 1WorldSync DataSource schema on the Client’s database. Using these tables on theClient’s database, the Client can request and receive 1WorldSync DataSource Content. If theContent Connector does not meet the data integration requirements of the Client, the Client canengage with 1WorldSync for professional services, for an additional fee based on a defined scopeof work.
1WorldSync’s PDM may evolve over time at 1WorldSync’s sole discretion and option. This evolutioncan result in modifications or changes to the contents of the structure of the treated filestransmitted by 1WorldSync to Client. 1WorldSync will keep Client informed of its intention tomodify the treated files and will provide Client with at least sixty (60) days advance notice ofany such modification to enable Client to make the necessary modifications to its own internalsystems to accept these modifications. If Client does not wish to modify its own internalsystems, 1WorldSync undertakes to continue to furnish it, for a period of least six (6) monthsfrom the date of notice of intention to change, the treated files in the same format andstructure as before the modification.
1WorldSync will make its Help Center andSilver Level Support available to Client to assist with setup and serviceuse. CustomTraining and/or enhanced level support (Gold level) can be purchased for an additionalfee.
